Terms of Service

Welcome to Lumify, Inc. ("Lumify," "we," "our," or "us").

These Terms of Service ("Terms") govern your access to and use of Lumify's APIs, documentation, software, developer tools, websites, dashboards, artificial intelligence services, and related products (collectively, the "Service").

By creating an account, obtaining an API key, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

If you do not agree to these Terms, you may not use the Service.

1. Description of the Service

Lumify provides an agent-native Sports Intelligence API designed to power software applications, AI agents, copilots, automation platforms, analytics systems, and customer-facing experiences.

The Service may include:

Sports schedules
Live scores
Player statistics
Betting odds
Betting markets
Sportsbooks
AI-generated intelligence
Statistical analysis
Natural language summaries
Betting insights
Confidence scores
Rankings
Predictions
Explainable AI outputs
Historical sports information
Derived analytics
Documentation
SDKs
Developer tooling

The Service aggregates, normalizes, enriches, analyzes, and generates intelligence from multiple public and licensed data sources.

Lumify is not a sportsbook, gambling operator, fantasy sports operator, or wagering platform. We do not accept wagers or facilitate gambling transactions.

2. Eligibility

You must be at least eighteen (18) years of age or the age of majority in your jurisdiction to use the Service.

If you register on behalf of a business or other legal entity, you represent that you have authority to bind that entity.

You agree to provide accurate and complete registration information and to keep that information current.

3. License

Subject to these Terms and payment of applicable fees, Lumify grants you a limited, non-exclusive, non-transferable, revocable, non-sublicensable license during your subscription term to access and use the Service.

All rights not expressly granted remain exclusively with Lumify.

4. Permitted Uses

Subject to these Terms, you may use the Service within:

AI agents
Autonomous systems
Copilots
Software applications
Mobile applications
Websites
Dashboards
Internal business systems
Analytics platforms
Customer-facing products
Research tools

Your application must provide material value beyond simply redistributing Lumify Data.

5. Prohibited Uses

You may not:

Resell or sublicense Lumify as a standalone API or data feed.
Build a competing sports intelligence service using the Service.
White-label the Service for third-party resale.
Redistribute bulk datasets or database exports.
Mirror the Service.
Publish downloadable data dumps.
Circumvent usage limits.
Share API keys across unrelated organizations.
Attempt unauthorized access.
Reverse engineer the Service.
Remove copyright or proprietary notices.
Use the Service for unlawful purposes.
Interfere with other users.
Introduce malicious software.
Conduct penetration testing without written authorization.

6. AI Models and Machine Learning

The Service may not be used to:

Train machine learning models.
Fine-tune large language models.
Distill Lumify outputs.
Benchmark competing AI systems.
Create synthetic datasets for competing products.
Improve competing sports intelligence platforms.
Replicate Lumify's proprietary intelligence.

Unless expressly authorized in writing, no Lumify Data, AI output, rankings, confidence scores, analyses, or derived intelligence may be used for model training.

7. AI Agents and Autonomous Systems

Lumify is designed for use by software agents and autonomous systems.

You remain solely responsible for:

Agent behavior
Prompt design
Tool selection
Autonomous workflows
Human review processes
Decisions made by your software
Monitoring your agents

Lumify is not responsible for any recommendation, notification, wager, publication, transaction, workflow, or other automated action performed by your systems.

8. Sports Intelligence and AI Outputs

The Service may generate:

Betting intelligence
AI-generated summaries
Rankings
Confidence scores
Probabilities
Statistical analyses
Explanations
Recommendations
Predictive insights

These outputs are probabilistic in nature.

They may contain:

inaccuracies
omissions
stale information
statistical uncertainty
hallucinations
incomplete reasoning

Nothing produced by the Service constitutes:

legal advice
financial advice
investment advice
gambling advice
wagering recommendations
guarantees of future outcomes

You should independently evaluate all outputs before relying upon them.

9. Data Sources

Lumify aggregates information from multiple sources.

Data may include:

public information
licensed information
third-party providers
proprietary analyses
AI-generated enrichments

Data availability, latency, coverage, and accuracy may vary by sport, league, event, provider, or geographic region.

Lumify does not guarantee that any information reflects official league statistics.

10. Betting Disclaimer

Lumify is not a sportsbook.

We do not:

accept wagers
process bets
recommend bets
guarantee outcomes
encourage gambling

Any betting-related information is provided solely for informational, editorial, analytical, or research purposes.

You are solely responsible for complying with all gambling laws applicable to your jurisdiction and your users.

11. Data Accuracy

The Service is provided on a best-effort basis.

Sports information may contain:

delays
corrections
missing information
inconsistencies
scoring revisions
odds changes
player status changes
schedule modifications

You acknowledge that sports data changes rapidly.

Lumify makes no warranty regarding:

completeness
correctness
latency
freshness
accuracy
suitability for any purpose

You should independently verify critical information.

12. Customer Applications

You retain ownership of your:

applications
prompts
workflows
interfaces
business logic
customer data

You are solely responsible for:

your products
your users
your content
regulatory compliance
disclosures
responsible AI practices

13. Derived Intelligence

Lumify retains exclusive ownership of all proprietary intelligence generated by the Service, including but not limited to:

normalization
feature engineering
rankings
confidence scores
betting intelligence
AI prompts
transformations
statistical models
relationship graphs
metadata
explainability models
enrichment techniques

Nothing in these Terms transfers ownership of Lumify's proprietary methodologies.

14. API Keys

API keys are confidential.

You agree to:

keep keys secure
rotate compromised keys
avoid embedding keys in client applications
avoid publishing keys publicly
promptly notify Lumify of suspected compromise

You are responsible for all activity associated with your API keys.

15. Usage Limits

Subscription plans include usage limits.

These may include:

API requests
credits
rate limits
concurrent requests
endpoints
bandwidth
historical access

Lumify may throttle or suspend accounts engaging in abusive usage or attempts to circumvent usage restrictions.

16. Fair Use

Examples of prohibited abuse include:

account sharing
multiple accounts to avoid billing
automated scraping
excessive polling
denial-of-service behavior
credential sharing
unauthorized redistribution

Lumify may suspend access while investigating abuse.

17. Billing

Paid subscriptions renew automatically unless canceled.

Unless otherwise required by law:

payments are non-refundable
unused credits expire
credits do not roll over
taxes are your responsibility

Lumify may modify pricing upon reasonable advance notice.

18. Beta Features

Certain functionality may be identified as:

Beta
Preview
Experimental
Labs

These features may:

change without notice
contain bugs
produce inconsistent outputs
be discontinued

No warranties apply to Beta features.

19. Intellectual Property

The Service, APIs, documentation, software, AI systems, databases, models, algorithms, designs, trademarks, and content are owned by Lumify or its licensors.

No ownership rights are transferred to you.

20. Feedback

If you provide suggestions, ideas, bug reports, feature requests, or other feedback, Lumify may use them without restriction or compensation.

21. Third-Party Services

The Service may reference:

sportsbooks
leagues
teams
athletes
data providers

All third-party trademarks remain the property of their respective owners.

No endorsement is implied.

22. Monitoring

Lumify may monitor Service usage for:

security
fraud prevention
billing
abuse detection
product improvement
compliance

We may collect operational metadata including request volume, latency, endpoint usage, response codes, and similar telemetry.

23. Privacy

Our collection and use of personal information is governed by our Privacy Policy.

24. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMIFY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND UNINTERRUPTED OPERATION.

25. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR GAMBLING LOSSES ARISING FROM YOUR USE OF THE SERVICE.

LUMIFY'S TOTAL LIABILITY ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO LUMIFY DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

26. Indemnification

You agree to indemnify, defend, and hold harmless Lumify, its affiliates, officers, employees, directors, and licensors from any claims, liabilities, damages, losses, and expenses arising from:

your use of the Service;
your applications or AI agents;
your violation of these Terms;
your violation of applicable laws;
your infringement of third-party rights.

27. Suspension and Termination

Lumify may suspend or terminate access immediately if:

you violate these Terms;
your usage threatens Service stability;
payment obligations are not met;
required by law;
continued access creates security risk.

Upon termination, all licenses granted under these Terms immediately terminate.

28. Changes to the Service

Lumify may:

add or remove features;
introduce new endpoints;
retire endpoints;
release new API versions;
discontinue deprecated functionality.

Reasonable efforts will be made to communicate material breaking changes.

29. Changes to these Terms

We may update these Terms periodically.

Material changes will become effective upon publication or as otherwise communicated.

Continued use of the Service constitutes acceptance of the updated Terms.

30. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles, unless otherwise required by applicable law.
